1. Introduction
Welcome to Sorcia Africa.
These Terms of Service (“Terms”) govern your access to and use of Sorcia Africa’s sourcing, procurement, coordination, and advisory services.
By requesting a quotation, engaging our services, or making any payment, you agree to be legally bound by these Terms.
If you do not agree, you must discontinue use of our services.
2. Scope of Services
Sorcia Africa provides professional sourcing and procurement coordination services across various industries, including but not limited to:
- Consumer goods
- Industrial equipment
- Automobiles
- Construction materials
- Agricultural products
- Machinery and spare parts
- Custom or bulk orders
Our services may include:
- Supplier identification and verification
- Price negotiation
- Invoice coordination
- Quality verification coordination
- Shipping and logistics coordination
- Documentation support
- Procurement advisory services
Sorcia Africa acts as a sourcing intermediary and coordination partner unless otherwise stated in writing.
3. Service Fees & Pricing Structure
Sorcia Africa charges a sourcing and coordination fee equivalent to twelve percent (12%) of the official Supplier Invoice Value (FOB price) for each confirmed transaction.
- The Supplier Invoice Value refers to the total amount stated on the manufacturer’s, vendor’s, or authorized supplier’s official commercial invoice.
- This value excludes international freight, marine insurance, customs duties, port charges, inland transportation, warehousing, destination clearance fees, taxes, and government-imposed charges unless otherwise specified.
The 12% service fee will be clearly reflected in the official quotation issued to the Client. Approval of the quotation constitutes full acceptance of the pricing structure.
The sourcing fee becomes earned and non-refundable once supplier engagement, negotiation, procurement processing, or payment facilitation activities have commenced.
Sorcia Africa reserves the right to structure alternative pricing models (flat fees, retainers, or project-based pricing) where applicable. Such terms will be stated in writing.
4. Payments & Deposits
- A deposit may be required prior to initiating sourcing activities.
- Payment timelines will be clearly stated in the official quotation or invoice.
- All payments must be made via approved payment channels provided by Sorcia Africa.
- Delayed payments may result in service suspension or cancellation.
All transaction-related bank charges and currency conversion costs are borne by the Client unless otherwise agreed.
5. Client Responsibilities
The Client agrees to:
- Provide accurate product specifications and requirements.
- Approve quotations in writing before procurement begins.
- Make payments within agreed timelines.
- Ensure compliance with import/export regulations in their jurisdiction.
Sorcia Africa is not liable for delays resulting from inaccurate specifications, delayed approvals, or regulatory non-compliance by the Client.
6. Third-Party Suppliers & Logistics Providers
Sorcia Africa works with third-party manufacturers, suppliers, freight forwarders, and logistics companies.
While we conduct reasonable due diligence, we do not control third-party operations and therefore cannot guarantee:
- Production timelines
- Shipping schedules
- Customs clearance speed
- Product performance beyond supplier warranties
Risk transfer shall be governed by the applicable Incoterms stated in the supplier invoice.
Clients are advised to obtain appropriate cargo insurance coverage where necessary.
7. Cancellations & Refund Policy
- Deposits are non-refundable once sourcing activities have commenced.
- Cancellation after supplier confirmation may attract supplier-imposed penalties.
- Any refundable amount will exclude incurred coordination costs and third-party expenses.
Refunds, where applicable, will be processed within a reasonable timeframe.
8. Limitation of Liability
Sorcia Africa operates strictly as an intermediary and coordination service provider.
We do not manufacture goods and do not provide warranties beyond those offered by the original supplier or manufacturer.
Our total liability, if any, shall not exceed the service fee paid for the specific transaction giving rise to the claim.
Sorcia Africa shall not be liable for indirect, incidental, special, or consequential damages.
9. Compliance & Ethical Conduct
Clients must ensure that sourced goods comply with local regulations, standards, and import requirements.
Sorcia Africa reserves the right to refuse transactions that:
- Violate applicable laws
- Involve restricted or prohibited goods
- Raise ethical or compliance concerns
10. Confidentiality
All business information shared between Sorcia Africa and the Client will be treated as confidential and will not be disclosed to third parties except as required to execute the transaction.
11. Intellectual Property
All branding, documentation templates, digital assets, and content published by Sorcia Africa remain our intellectual property and may not be reproduced without written consent.
12. Amendments
Sorcia Africa reserves the right to update these Terms at any time. Updated versions will be effective upon publication on our website.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ghana.
Any dispute shall first be resolved amicably. Where resolution fails, disputes shall be subject to the jurisdiction of the courts of Ghana.
